Terms of Service

These Terms of Service ("Terms") govern your access to and use of TrueNorthSaaS, operated by N01 Labs ("TrueNorthSaaS", "we", "us", "our"), and any related websites, apps, and services (collectively, the "Service"). By creating an account, accessing, or using the Service, you agree to these Terms.

1) Who we are

TrueNorthSaaS provides a directory and platform for discovering Canadian software companies and tech jobs. We offer tools for users to claim company profiles, list software products, and publish job openings to our job board. Contact: support@truenorthsaas.ca.

2) Eligibility & Accounts

• You must be at least 13 years old (or the age required by local law) to use the Service.
• You are responsible for your account credentials and for all activity under your account.
• Provide accurate information and keep it updated. We may suspend or terminate accounts that violate these Terms.

3) Plans, Job Postings & Billing

• We offer free and paid features (including pay-per-post job listings and potential subscriptions). Feature availability and pricing are shown at checkout and may change with notice.
• Job Postings: Purchasing a job post allows you to list an open role for a specified duration (e.g., 30 days). We reserve the right to remove job postings that violate our Fair Use policies without a refund.
• Subscriptions (if applicable) renew automatically until cancelled. You can manage or cancel at any time from your account settings.
• Fees are non-refundable except where required by law or as expressly stated in these Terms.
• Taxes may apply based on your billing address and will be added where required.

4) Fair Use & Acceptable Content

• Do not create or publish content that is illegal, infringing, or harmful (e.g., malware, hate, harassment, threats, explicit illegal content).
• Directory Integrity: You must not create fake company profiles, list fraudulent software, or claim ownership of a software product that you do not have the legal authority to represent.
• Job Board Integrity: Job postings must represent real, open roles at your company. You must not post deceptive listings, MLM schemes, or use the job board to farm candidate data for third-party recruitment agencies.
• Do not attempt to disrupt, overload, reverse engineer, or circumvent security, anti-abuse measures, or usage limits.
• We may apply rate limits or other controls to prevent abuse and protect the Service. Repeated abuse may result in suspension, termination, and blacklisting of your company profile.

5) Your Content & License to Us

You retain all rights to the company details, software information, logos, and job postings you submit ("Your Content"). By posting Your Content to the directory or job board, you grant TrueNorthSaaS a worldwide, non-exclusive, royalty-free license to host, process, transmit, and display Your Content publicly to operate and promote the Service.

This includes generating technical outputs needed for the Service (e.g., generating thumbnails, optimizing logo images, and featuring your software or job postings in our newsletters or social media channels).

6) Software Claims & Verification

TrueNorthSaaS allows users to claim ownership of unclaimed software profiles. By submitting a claim request, you represent and warrant that you are an authorized founder, employee, or representative of that company.

• We reserve the right to approve, reject, or revoke profile claims at our sole discretion based on the verification details provided.
• If a dispute arises over the ownership of a software profile, we may suspend access to the profile until the involved parties resolve the dispute or provide definitive proof of ownership.

7) Privacy

Your use of the Service is also governed by our Privacy Policy, which explains what we collect and how we use it. Remember that the information you publish to your company profile, software listings, and job postings is visible to the public.

8) Storage, Availability & Changes

• We aim for high availability but do not guarantee uninterrupted Service. We may suspend the Service for maintenance, emergencies, or legal/security reasons.
• We may change features, adjust directory categorization, or discontinue parts of the Service. For material changes to paid features, we'll provide reasonable notice.
• We may delete or restrict access to content that violates these Terms, applicable law, or that poses security or abuse risks.

9) Third-Party Services

The Service may integrate with third parties (e.g., Google/Microsoft sign-in, Stripe payments, analytics providers). Your use of those services is subject to their terms and privacy policies. We are not responsible for third-party services.

10) Intellectual Property

TrueNorthSaaS and its logos, product names, and the Service's software and designs are our intellectual property or that of our licensors. Except for rights expressly granted, no license is granted to you. You may not copy, modify, distribute, or create derivative works of the Service.

11) Feedback

If you send ideas or suggestions, you grant us a perpetual, worldwide, irrevocable, royalty-free license to use them without restriction or compensation.

12) Disclaimers

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE WILL BE ERROR-FREE, SECURE, OR UNINTERRUPTED. WE DO NOT GUARANTEE THAT JOB POSTINGS WILL RESULT IN CANDIDATE APPLICATIONS OR HIRES.

13) Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, TRUENORTHSAAS AND ITS SUPPLIERS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR LOST PROFITS, REVENUE, DATA, OR GOODWILL, EVEN IF ADVISED OF THE POSSIBILITY. OUR TOTAL LIABILITY FOR ALL CLAIMS RELATING TO THE SERVICE IN ANY 12-MONTH PERIOD WILL NOT EXCEED THE AMOUNTS YOU PAID TO US FOR THE SERVICE IN THAT PERIOD (OR $50 IF YOU USED A FREE PLAN).

14) Indemnification

You agree to defend, indemnify, and hold harmless TrueNorthSaaS and its affiliates, officers, employees, and agents from any claims, damages, liabilities, costs, and expenses (including reasonable attorneys' fees) arising from your company profiles, software listings, job postings, your use of the Service, or your breach of these Terms.

15) Termination

• You may stop using the Service at any time and close your account.
• We may suspend or terminate your access if you violate these Terms, create risk, or for legal/security reasons.
• Upon termination, your right to use the Service ends; some provisions (e.g., IP, disclaimers, limitations of liability, indemnity, and governing law) survive.

16) Refunds

Except where required by law or explicitly stated otherwise, fees (including job posting fees) are non-refundable. If we materially fail to provide a paid feature you already purchased and cannot remedy it within a reasonable time, contact us and we'll review in good faith.

17) Governing Law & Dispute Resolution

These Terms are governed by and construed in accordance with the laws of the Province of Ontario and the federal laws of Canada applicable therein, without regard to conflict of law principles.

You agree to submit to the exclusive jurisdiction of the courts located in Toronto, Ontario for the resolution of any disputes arising out of or relating to these Terms or the Service.

18) Export Controls

You must comply with all applicable export and sanctions laws and may not use the Service in embargoed or restricted jurisdictions in violation of such laws.

19) Changes to these Terms

We may update these Terms to reflect changes to the Service or legal requirements. We'll update the "Last updated" date and, for material changes, provide reasonable notice (e.g., email or in-app). Your continued use of the Service after changes become effective constitutes acceptance.
